Guoxing Group Co. Ltd. is a wholly-owned subsidiary of China Reform Holdings Co. Ltd.. Our main business is investment, development and management of mineral resources; scarce resources such as raw material of fluorine chemical industry investment operation; fluorine chemical industry products and basic chemical raw material projects investment. Guoxing Group Co. Ltd. is conceptualized national resource development and investment operation platform for the deep processing industry of scarce resources by SASAC. In addition to the traditional mineral products and their downstream business, our company also carries out the mineral products trade and mining equipment leasing business among various fluorite and barite mining enterprises from Guizhou, Chongqing and other provinces and regions. Meanwhile, we established our own fund company to build the only domestic high quality incubation platform of fluorite and barite projects, continue to provide quality and safe M & A project sources for the company`s project repository, and ensure the rapid and sustainable development of the company in the field of mineral resources.

矿产品贸易：公司在东南地区、西南地区等合作的萤石、重晶石矿山14座，现销售酸级萤石精粉15万吨/年、冶金级萤石粒子矿4.5万吨、重晶石粉12万吨/年、重晶石白矿18万吨/年。萤石产品销售客户包括法国阿科玛、浙江巨化股份、上海三爱富、山东东岳等在内的大、中型氟化工企业及大型经销商；重晶石产品销售客户包括贵州萨博曼、贵州贝瑞特、贵州贵祥矿业、湖北五峰祥盛矿业等大型进出口公司及大型粉体加工企业。
矿权并购基金：国星新技术矿产发展基金由国星基金管理公司作为管理人发起设立，首期规模2亿元，由国星集团或关联公司出资4000万元作为劣后级LP,向 社会公开募集1.6亿元优先级LP份额s，基金续存期为6年，其中投资运营期为3年，退出期2年，管理人可根据实际情况决定延长1年退出期；基金主要投向 于萤石、重晶石、石墨等非金属矿产行业内有资源增储潜力的矿产企业，投资收益来源于标的企业的运营收入，特别是资源增储带来的高额回报；基金的退出方式主 要有上市公司收购、股权公开转让、国星收储、发行新的基金收购基金份额；基金管理费为基金续存期间当年规模的2%
矿山设备及井巷工程融资租赁：通过直租、售后回租、转租赁、资金委托租赁、联合租赁等业务方式，以矿山固定资产为载体，与客户紧密合作，设计个性化的 租赁结构，满足客户资金筹措、财务状况优化、债务结构调整、产品促销等多样化需求，形成一整套完整的融资租赁业务发展模式和风险控制体系，与客户形成长期 可持续的良性合作。
Mineral Products Trade
Our company keeps partnership with 14 fluorite and barite mines in the southern and southwest areas of China, with a sales scale of acid grade fluorite powder 150 thousand tons, metallurgical grade fluorite ore 45 thousand tons, barite powder 120 thousand tons and white barite ore 180 thousand tons per year. Our sales customers of fluorite products include Arkema, Juhua Group , Shanghai 3F, Dongyue Federation and other above medium-sized fluorine chemical enterprises and large distributors; customers of barite products include Guizhou Saboman, Guizhou Beiruite, Guizhou Guixiang, Hubei Wufeng Xiangshang Mining and other large import & export companies and large powder processing enterprises.
Mining right merger and acquisition fund
Guoxing New Technology Mineral Development Fund is launched and established by Guoxing Fund Management (Shenzhen) Co., Ltd. The initial size of the fund is 200 million RMB which consists of 40 million RMB from Guoxing Group as Inferior grade LP, 160 million RMB from public offering as Priority LP. The fund duration is 6 years, 3 years in which is the investment operation period, 2 years in which is the withdrawal period. The manager may decide to extend the period of 1 years in accordance with the actual situation. The fund will mainly invest in mineral enterprises which reserve resource growth potential in fluorite, barite, graphite and other non-metallic mineral industry. The exit models of the fund include acquisition of listed companies, equity transfer, storing up by Guoxing Group and Issue new fund shares. Fund management fees is 2% of the fund issue size the same year within fund duration.
Financial lease of mining equipment and sinking & driving engineering projects.
The main forms of financial lease of our company include direct lease, leaseback, sublease, funds entrusted lease and joint lease. Based on fixed assets of mines, we keep close partnership with customers to design personalized leasing structure, fulfill diverse needs of the customers in financing, financial condition optimization, debt restructuring, product promotion and etc., so as to form a complete set of financial leasing business development model and risk control system to keep long-term, sustainable and healthy cooperation with customers.
